Constitution of the Mennonite Mission Health Association


Article I

Name:

The name of the organization shall be Mennonite Mission Health Association. (MMHA)

Article II

Mission Statement:

The Mennonite Mission Health Association is a non profit charitable organization of Christian health, business professionals and others, serving God by providing resources and services to Mennonite and Brethren In Christ health care facilities in the developing world.

Article III

Organization:

The affairs of the association shall be overseen by a self perpetuating board of 8-12 persons, one of whom shall be a representative of Mennonite Brethren Missions Services International (MBMSI).

There shall be an executive committee elected from board members consisting of a chairperson, vice chairperson, secretary, treasurer, and a representative of MBMSI. Care shall be taken to make sure that both Canada and the USA are represented.

Article I

Terms of Office

1. Board Members, shall serve for a three year term.

2. Executive members shall serve for a three year term and may be re-elected for a second term, but then shall step down for one term before they may be re-elected.

Article II

Meetings:

1.      The board shall meet annually. Extraordinary meetings may be called at the discretion of the chairperson or at the request of board members.

2.      The executive shall meet at least once in the interim between board meetings. Decisions made by the executive shall be ratified at the next Board meeting. Additional meetings of the executive may be called at the discretion of the chairperson or at the request of members of the executive.

3.      Minutes shall be kept of all meetings.

Article III

Responsibilities of Officers:

1.      The chairperson shall preside at all meetings of the Board and Executive.

2.      The secretary shall keep an accurate record of all meetings of the board and executive.

3.      The vice chairperson shall carry out such duties as assigned to him by the chairperson and in the absence of the chairperson shall preside at the meetings of the board and executive.

4.      The treasurer shall keep accurate records of all the financial transactions of the association and shall provide audited reports at the annual board meetings as well as the executive committee meetings as requested.

Article IV

Signing Officers:

Signing officers of the association shall be chairperson, vice chairperson, secretary and treasurer.

Article V

Commissions:

In order to facilitate the work of the association the board may appoint commissions to oversee the various activities of the association. The composition of the commission shall be decided at the time that it is appointed as well as the responsibility of the commission. Such commissions shall report to the executive and the board.

Proposal:

That the board establish two commissions at this point one for India and another for the Congo.

Responsibilities of the Commissions:

1.      To be responsible for publicity, fund raising and oversight of the projects in the area of their responsibilities.

2.      The commissions shall work closely with the exec, and the national bodies that are involved in the project

3.      The commissions shall report to the board at it’s annual meetings.

4.      The commissions shall make recommendations to the board with regard to the projects that they are involved in.
